A Section 8 Company is a non-profit organization incorporated under the Companies Act, 2013 for promoting charitable objects such as education, social welfare, environmental protection, research, sports, healthcare, and similar activities. Even though it is a non-profit entity, it is treated as a corporate body under law and is required to comply with various statutory filings, accounting standards, and governance requirements prescribed by the Ministry of Corporate Affairs (MCA).
Compliance for a Section 8 Company is more structured compared to trusts and societies because it operates under company law. The organization must maintain proper books of accounts, conduct board meetings, hold annual general meetings (AGMs), and file annual returns and financial statements with the MCA. Additionally, compliance under Income Tax Act is mandatory, including filing of income tax returns and maintaining tax exemption registrations such as 12AB and 80G wherever applicable.
Key annual compliance requirements include maintenance of statutory registers, filing of financial statements in Form AOC-4, filing of annual return in Form MGT-7 or MGT-7A, and conducting statutory audits. If the company receives foreign contributions, compliance under FCRA becomes mandatory, including separate accounting and reporting requirements.
